12TermsofPayment:
OnemonthpriortothetimeofshipmenttheBuyershallopenwiththeBankof_______anirrevocableLetterofCreditinfavouroftheSellerpayableattheissuingbankagainstpresentationofdocumentsasstipulatedunderClause18.A.ofSECTIONII,theTermsofDeliveryofthisContractafterdepartureofthecarryingvessel.Thesaid LetterofCreditshallremaininforcetillthe15thdayaftershipment.
13OtherTerms:
UnlessotherwiseagreedandacceptedbytheBuyer,allothermattersrelatedtothiscontractshallbegovernedbySectionII,theTermsofDeliverywhichshallformanintegralpartofthisContract.AnysupplementarytermsandconditionsthatmaybeattachedtothisContractshallautomaticallyprevailoverthetermsandconditionsofthisContractifsuchsupplementarytermsandconditionscomeinconflictwithtermsandconditionshereinandshallbebindinguponbothparties.

SECTION2
14FOB/FASTERMS
14.1TheshippingspaceforthecontractedgoodsshallbebookedbytheBuyerortheBuyer'sshippingagent__________.
14.2 UnderFOBterms,theSellershallundertaketoloadthecontractedgoodsonboardthevesselnominatedbytheBuyer on any datenotifiedbytheBuyer,withinthetimeofshipmentasstipulatedinClause8ofthisContract.
14.3UnderFASterms,theSellershallundertaketodeliverthecontractedgoodsunderthetackleofthevesselnominatedbytheBuyer onanydatenotifiedbytheBuyer,withinthetimeofshipmentas stipulatedinClause8ofthisContract.
14.410-15dayspriortothedateofshipment,theBuyershall informtheSellerbycableortelexofthecontractnumber,nameof vessel,ETAofvessel,quantitytobeloadedandthenameofshippingagent,soas toenabletheSellertocontacttheshippingagentdirectandarrangetheshipmentofthegoods.TheSellershalladvisebycableortelexintimetheBuyeroftheresultthereof.Should,forcertain reasons,itbecomenecessaryfortheBuyertoreplacethenamedvesselwithanotherone,orshouldthenamedvesselarriveattheportofshipment earlier or laterthanthedateofarrivalaspreviouslynotifiedtotheSeller, the BuyeroritsshippingagentshalladvisetheSellertothiseffectindue time.
TheSellershallalsokeepinclosecontactwiththeagentortheBuyer.
14.5ShouldtheSellerfailtoloadthegoodsonboardortodeliverthegoodsunderthetackleofthevesselbookedbytheBuyer. Within thetimeasnotifiedbytheBuyer,afteritsarrivalattheportofshipmenttheSellershallbefullyliabletothe Buyer and responsible for alllossesandexpensessuchasdeadfreight,demurrage.Consequentiallossesincurreduponand/orsufferedbytheBuyer.
14.6Shouldthevesselbewithdrawnorreplacedordelayedeventuallyorthecargobeshutoutetc.,andtheSellerbenotinformedingoodtimetostopdeliveryofthecargo,thecalculationofthelossinstorageexpensesandinsurancepremiumthussustainedattheloadingportshallbebasedontheloadingdatenotifiedbytheagenttotheSeller(orbasedonthedateofthearrivalofthecargoattheloadingportincasethecargoshouldarrivetherelaterthanthenotifiedloadingdate).Theabovementionedlosstobecalculatedfromthe16thdayafterexpiryofthefreestoragetimeattheportshould be borne by the Buyer with theexceptionofForceMajeure.However,theSellershallstillundertaketoloadthecargoimmediatelyupon the carrying vessel's arrival at theloadingportatitsownriskandexpenses.Thepaymentof the afore-saidexpensesshallbeeffectedagainstpresentationoftheoriginalvouchersaftertheBuyer'sverification.
15C&FTerms
15.1TheSellershallshipthegoodswithinthetimeasstipulatedinclause8ofthisContractbyadirectvessel sailing from the port ofloadingtoChinaport.TranshipmentonrouteisnotallowedwithouttheBuyer'spriorconsent.Thegoodsshallnotbecarried by vessels flyingflagsofcountriesnotacceptabletothePortAuthorAuthoritiesofChina.
15.2ThecarryingvesselcharteredbytheSellershallbeseaworthyandcargoworthy.TheSeller shall be obliged to act prudently andconscientiouslywhenselectingthevesselandthecarrierwhencharteringsuchvessel.TheBuyerisjustifiedinnotacceptingvesselschartered bytheSellerthatarenotmembersofthePICLUB.
15.3ThecarryingvesselcharteredbytheSellershallsailandarriveattheportofdestinationwithinthe normalandreasonableperiodoftime.Anyunreasonableaviationordelayisnotallowed.
15.4TheageofthecarryingvesselcharteredbytheSellershallnotexceed15years.Incaseherage exceeds 15years,the extra averageinsurancepremiumthusincurredshallbebornebytheSeller.Vesselover20yearsofageshallinnoeventbeacceptabletotheBuyer.
15.5Forcargolotsover1,000M/Teach,oranyotherlotslessthan1,000metrictonsbutidentifiedbytheBuyer,theSellershall,at least10dayspriortothedateofshipment,informtheBuyerbytelexorcableofthefollowinginformation:thecontractnumber,thenameof commodity,
quantity,thenameofthecarryingvessel,theage,nationali- ty,andparticularsofthecarryingvessel,theexpecteddate ofloading,theexpectedtimeofarrivalattheportofdestdestination,thename,telexandcableaddressofthecarrier.
15.6Forcargolotsover1,000M/Teach,oranyotherlotslessthan1,000metrictonsbutidentifiedbytheBuyer,theMasterofthe carryingvesselshallnotifytheBuyerrespectively7(seven)daysand24(twenty-four)hourspriortothearrivalofthe vessel at the port ofdestination,bytelexorcableaboutitsETA(expectedtimeofarrival),contractnumber,thenameofcommodity,andquantity.
15.7IfgoodsaretobeshippedperlinervesselunderlinerBillofLading,thecarryingvesselmustbeclassifiedasthehighest____________orequivalentclassaspertheInstituteClassificationClauseandshallbesomaintainedthroughoutthedurationoftherelevantBill of Lading.
Nevertheless,themaximumageofthevesselshallnotexceed20yearsatthedateofloading.Thesellershallbeartheaverage insurance premiumforlinervesselolderthan20years.Undernocircum-stancesshalltheBuyeracceptvesselover25yearsofage.
15.8Forbreakbulkcargoes,ifgoodsareshippedincontainersbytheSellerwithoutpriorconsentoftheBuyer,a compensation of a certainamounttobeagreeduponbybothpartiesshallbepayabletotheBuyerbytheSeller.
15.9TheSellershallmaintainclosecontactwiththecarryingvesselandshallnotifytheBuyerbyfastestmeansofcommunicationaboutanyandallaccidentsthatmayoccurwhilethecarryingvesselisonroute.TheSellershallassumefullresponsibilityandshallcompensatetheBuyerforalllossesincurredforitsfailuretogivetimelyadviceornotificationtotheBuyer.
16CIFTerms:
UnderCIFterms,besidesClause15C&FTermsofthis contractwhichshallbeappliedtheSellershallberespon-siblefor covering the cargowithrelevantinsurancewithirrespectivepercentage.
17AdviceofShipment:
Within48hoursimmediatelyaftercompletionofloadingof goods onboardthevesseltheSellershalladvisetheBuyerbycable or telex ofthecontractnumber,thenameofgoods, weight (net/gross) or quantityloaded,invoicevalue,nameofvessel,portofloading,sailing date and
expectedtimeofarrival(ETA)attheportofdestination. ShouldtheBuyerbeunabletoarrangeinsuranceintimeowingtotheSeller'sfailuretogivetheabovementionedadviceofshipment by cable or telex, theSellershallbeheldresponsibleforanyand alldamagesand/orlossesattribu-
tabletosuchfailure.
18ShippingDocuments
18.ATheSellershallpresentthefollowingdocuments tothepayingbankfornegotiationofpayment:
18.A.1Fullsetofcleanonboard,"freightprepaid"forC&F/CIFTermsor"Freighttocollect"forFOB/FASTerms,OceanBillsofLading,madeouttoorderandblankendorsed,noti- fying ___________attheportofdestination.
18.A.2Fivecopiesofsignedinvoice,indicatingcontractnumber,L/Cnumber,nameofcommodity,fullspecifications,andshippingmark,signedandissuedbytheBeneficiaryofLetterofCredit.
18.A.3Twocopiesofpackinglistand/orweightmemo with indicationofgrossandnetweightofeach package and/ormeasure measurementsissuedbybeneficiaryofLetterofCredit.
18.A.4Twocopieseachofthecertificatesofqualityandquantityorweightissuedbythemanufacturerand/oraqualiqualifiedindependentsurveyorattheloadingportandmust indicatefullspecificationsofgoodsconformingtostipula-tionsinLetterofCredit.
18.A.5OneduplicatecopyofthecableortelexadviceofshipmentasstipulatedinClause17oftheTermsofDelivery.
18.A.6 A letter attesting that extra copies of abovementioneddocumentshavebeendispatchedaccordingtotheContract.
18.A.7Aletterattestingthatthenationalityofthecarrying vesselhasbeenapprovedbytheBuyer.
18.A.8Therelevantinsurancepolicycovering,butnotlimitedtoatleast110%oftheinvoicevalueagainstallandwarrisksiftheinsuranceiscoveredbytheBuyer.
18.BAnyoriginaldocument(s)madebyrephotographicsystem,automatedorcomputerizedsystemorcarboncopiesshall not be acceptable unlesstheyareclearlymarkedas"ORIGINAL."andcertified with signatures inhandwritingbyauthorisedofficersoftheissuingcompanyorcorporation.
18.CThroughBillofLading,StaleBillofLading,ShortFormBill ofLading,shallnotbeacceptable.
18.DThirdPartyappointedbytheBeneficiaryasshippershallnotbeacceptableunlesssuchThirdPartyBillofLadingismadeouttotheorderofshipperandendorsedtothe Beneficiary and blank endorsed by theBeneficiary.
18.EDocumentsissuedearlierthan the opening date of Letter ofCreditshallnotbeacceptable.
18.FInthecaseofC&F/CIFshipments,CharterParty Bill of LadingshallnotbeacceptableunlessBeneficiaryprovidesonecopyeach of theCharterParty,Master'sofMate'sreceipt,shipping order and cargo orstowageplanand/orotherdocumentscalledforintheLetterofCredit by
theBuyer.
18.GThesellershalldispatch,incareofthe carrying vessel, twocopieseachoftheduplicatesofBillofLading.InvoiceandPacking ListtotheBuyer'sreceivingagent,_______________attheportofdestination.
18.HImmediatelyafterthe departure of the carrying vessel, theSellershallairmailonesetoftheduplicatedocumentstotheBuyerandthreesetsofthesameto_______TransportationCorporationattheportofdestination.
18.ITheSellershallassumefullresponsibilityandbeliableto theBuyerandshallcompensatetheBuyerforall losses arising from goingastrayofand/or the delay in the dispatch of the above mentioneddocuments.
18.JBankingchargesoutsidethePeople'sRepublicofChina shallbefortheSeller'saccount.
19IfthegoodsunderthisContractaretobedispatchedby air,allthetermsandconditionsofthisContract in connectionwithoceantransportationshallbegovernedbyrelevantairterms.
20Instructionleafletsondangerouscargo:
Fordangerousand/orpoisonouscargo,the Seller must provideinstruction leaflets stating the hazardous or poisonous properties,transportation,storageandhandlingremarks,aswellasprecautionaryandfirst-airmeasuresandmeasuresagainstfire.TheSellershallairmail,togetherwithothershippingdocuments,threecopieseachofthe same to
theBuyerand___________________TransportationCorporationattheportofdestination.
21Inspection&claims:
Incasethequality,quantityorweightofthegoodsbefoundnotinconformitywiththoseasstipulatedinthisContractuponre-inspectionbytheChinaCommodityImportandExportinspection Bureau within 60daysaftercompletionofthedischargeofthegoodsattheportof destination
or,ifgoodsareshippedincontainers,60daysaftertheopeningofsuchcontainers,theBuyershallhavetherighttorequesttheSellertotakebackthegoodsorlodgeclaimsagainstthe Seller for compensation forlossesuponthestrengthoftheInspectionCertificateissuedbythe said
Bureau,withtheexceptionofthose claims for which the insurers orownersofthecarryingvesselareliable,allexpensesincludingbutnotlimitedtoinspectionfees,interest,lossesarisingfrom the return ofthegoodsorclaimsshallbebornebytheSeller. In such a case, the
Buyermay,ifsorequested,sendasampleofthegoodsinquestionto theSeller,providedthatsamplingandsendingofsuchsampleisfeasible.
22Damages:
Withtheexceptionoflatedeliveryor non-delivery due to "ForceMajeure"causes,iftheSellerfailstomake delivery of the goodsinaccordancewiththetermsandconditions,jointlyor severally,ofthisContract,theSellershallbeliabletotheBuyerandindemnifythe Buyer
foralllosses,damages,includingbut not limited to, purchase priceand/orpurchase price differentials,dead- freight,demurrage,andallconsequentialdirectorindirectlosses.TheBuyershallneverthelesshavetherighttocancelinpartorinwholeofthecontractwithout prejudicetotheBuyer'srighttoclaimcompensations.
23ForceMajeure:
NeithertheSellerortheBuyershallbeheldresponsible forlatedeliveryornon-deliveryowingtogenerallyrecog- nized"Force Majeure"causes.Howeverinsuchacase,theSellershallimmediatelyadvise bycableortelextheBuyeroftheaccidentandairmailtotheBuyerwithin15daysaftertheaccident,acertificateoftheaccident issued by the
competentgovernmentauthorityorthechamberofcommercewhichislocatedattheplacewheretheaccidentoccursasevidencethereof.Ifthesaid"ForceMajeure"causelastsover60days,theBuyershallhave the righttocancelthewholeortheundeliveredpartoftheorderforthegoods as
stipulatedinContract.
24Arbitration:
Bothpartiesagreetoattempttoresolve all disputes between thepartieswithrespecttotheapplication or interpretationofanytermhereofoftransactionhereunder, throughamicablenegotiation.IfadisputecannotberesolvedinthismannertothesatisfactionoftheSellerandtheBuyerwithina reasonable period of time, maximum not
exceeding90daysafterthedateofthenotificationofsuchdispute,thecaseunderdisputeshallbesubmittedtoarbitra-tioniftheBuyershoulddecidenottotakethecasetocourtataplaceofjurisdictionthattheBuyermaydeemappropriate.Unlessotherwiseagreeduponbybothparties,sucharbitra-tionshallbeheldin________,andshallbegoverned by therulesandprocedures of arbitration stipulated by the Foreign TradeArbitration CommissionoftheChina Council forthePromotionofInternationalTrade.Thedecisionbysucharbitrationshallbeacceptedasfinalandbindinguponbothparties.Thearbitrationfeesshall be bornebythelosingpartyunlessotherwiseawarded.
