NON-CIRCUMVENTION,NON-DISCLOSUREAGREEMENT
WHEREAS,theUndersignedwishtoenterintothisAgreementtodefinecertainparametersofthefuturelegalobligations,areboundbyadutyofConfidentiallywithrespecttotheirsourcesandcontacts.ThisdutyisinaccordancewiththeInternationalChamberofCommerceConvention(I.C.C.500).
WHEREAS,theUndersigneddesiretoenterintoaworkingbusinessrelationshiptothemutualandcommonbenefitofthepartieshereto,includingtheiraffiliates,subsidiaries,stockholders,partners,co-ventures,tradingpartners,andotherassociatedorganisations(hereinafterreferredtoas"Affiliates").
NOWTHEREFORE,inconsiderationofthemutualpromises,assertionsandcovenantshereinandothergoodandvaluableconsiderations,thereceiptsofwhichisacknowledgedhereby,thepartiesherebyagreeasfollows:
1.TERMSANDCONDITIONS
A.Thepartieswillnotinanymanner,solicit,noracceptanybusinessinanymannerfromsourcesnottheirAffiliates,whichsourcesweremadeavailablethroughthisagreement,withouttheexpresspermissionofthepartywhomadeavailablethesource.
B.Thepartieswillmaintaincompleteconfidentialityregardingeachotherbusinesssourcesand/ortheirAffiliatesandwilldisclosesuchbusinesssourcesonlytonamedpartiespursuanttotheexpresswrittenpermissionofthisparty,whomadeavailablethesource.
C.Thattheywillnotinanyofthetransactionsthepartiesaredesirousofenteringintoanddo,tothebestoftheirabilitiesassuretheotherthatthetransactioncodesestablishedwillnotbeaffected.
D.Thattheywillnotdisclosenames,addresses,Emailaddress,telephoneandtelefaxortelexnumberstoanycontactsbyeitherpartytothirdpartiesandthattheyeachrecognisesuchcontractsastheexclusivepropertyoftherespectivepartiesandthattheywillnotenterintoanydirectnegotiationsortransactionswithsuchcontractsrevealedbytheotherparty.
E.Thattheyfurtherundertakenottoenterintobusinesstransactionwithanyentities,thenamesofwhichhavebeenprovidedbyoneofthepartiestothisagreement,unlesswrittenpermissionhasbeenobtainedfromtheother,party(ies)todoso.Forthesakeofthisagreement,itdoesnotmatterwhetherinformationobtainedfromanaturaloralegalperson.Thepartiesalsoundertakenottomakeuseofathirdpartytocircumventthisclause.
F.ThatintheeventofcircumventionofthisAgreementbyeitherparty,directlyorindirectly,thecircumventedpartyshallbeentitledtoalegalmonetarypenaltyequaltothemaximumearningsitshouldrealisefromsuchatransactionplusanyandallexpensesincludingbutnotlimitedtoalllegalcostsandexpensesincurredtorecoverthelostrevenue.
G.Allconsideration,benefits,bonuses,participationfeesand/orcommissionsreceivedasaresultofthecontributionsofthepartiesintheAgreement,relatingtoanyandalltransactionswillbeallocatedasagreedbetweenthetwopartiestothisagreementplusotherpartiestothemediationeffectedandspecifiedineachcase.
H.Thisagreementisvalidforanyandalltransactionbetweenthepartieshereinandshallbegovernedbytheenforceablelawin,UKcourts,orunderSwisslawinZurich,intheeventofdispute,theRulesofconciliationandarbitrationoftheinternationalchamberbyoneormorearbitratorsdesignedinaccordancetosaidrulesisapplied.
I.Thesigningpartiesherebyacceptsuchselectedjurisdictionastheexclusivevenue.
J.ThedurationoftheAgreementshallbevalidforaperiodof3(three)yearsformthedateofthisagreement.
2.AGREEMENTTOTERMS
A.Thesignaturesonthisagreementreceivedbythewayoffacsimile,mailore-mailshallbedeemedtobeanexecutedcontact.Agreementenforceableandadmissibleforallpurposesforallpurposesasmaybenecessaryunderthetermsoftheagreement.
B.AllsignatoriesheretoacknowledgethattheyhavereadtheforegoingAgreementandbytheirinitialsandsignaturethattheyhavefullandcompleteauthoritytoexecutethedocumentforandinthenameofthepartyforwhichtheyhavegiventheirsignature.
